PARTNER-LEVEL LAWYER IN CAPITAL MARKETS / MERGERS & ACQUISITIONS PRACTICE TO PROVIDE TRANSACTION-SUPPORT SERVICES [CLO – KL]

What are we looking for?

We are looking to hire a Partner-level lawyer to join our Capital Markets / Mergers & Acquisitions Practice.  The position will be located within our Malaysian-network firm Christopher & Lee Ong in Kuala Lumpur.

The ideal candidate will have worked in a well-established law firm focusing on a range of corporate transactions, including public and private mergers & acquisitions, and private equity investments.

The Role Will Involve

  • Providing legal support on a broad range of transactions including placements; rights issues; bonus issues and other secondary issues, issues of bonds, continuing listing requirements; corporate disclosure and corporate governance, capital and corporate restructuring, and employee share schemes.
  • Providing support on the full spectrum of legal issues involving the following transactions in Singapore as well as the wider ASEAN region, such as:
    • Acquisitions and divestments of companies (both public and private), businesses and assets
    • Takeovers (hostile, contested and uncontested) of Singapore listed companies
    • Reverse takeovers (RTOs)
    • Mergers, amalgamations and schemes of arrangements
    • Delistings, privatisations, de-mergers and corporate restructurings
    • Private equity investments

Key Skills and Experience

  • Malaysian and/or Singapore qualified lawyer with minimum 7 years post-qualification experience.
  • Experience in corporate transactions, including public and private mergers & acquisitions, and private equity investments.
  • Good grounding in legal knowledge and skills.
  • Commitment to technical excellence and delivering excellent client service.
  • Possess initiative, drive and commercial acumen, and works well in a team.
  • Excellent communication and drafting skills.

General Manager

Role

The General Manager will be responsible for overseeing all day-to-day operational activities of the Firm and executing the Firm’s strategic goals and priorities. This role requires a proactive business leader who will collaborate with the Managing Partner, Partners and Managers to ensure the Firm operates efficiently and effectively, in line with the Firm’s vision and values.

1.Day-to-Day Operations

  • Operational Management: Manage the key operations and functions of the Firm to maintain a seamless and productive work environment.
  • Business Services Oversight: Ensure the effective functioning of all Business Services, including Administration, Business Development & Marketing, Finance, Knowledge Management, Human Resources, Information Technology, and Risk Management.
  • Leadership & Team Development: Provide strong leadership to Business Services Managers and staff, including coaching, motivation, performance management, and conflict resolution.
  • Process Improvement: Evaluate the Firm’s operational functions from Department Heads through to infrastructure, recommending and implementing programs to improve service quality and operational efficiency.
  • Financial Management: Oversee the preparation and tracking of capital, income, and expense budgets, and implement financial controls to ensure resources are used effectively.
  • Office Management: Manage all leasing activities, including space planning, office renovations, relocations and hybrid working arrangements. Oversee office contracts, procurement processes, independent contractors, maintenance and service contracts, and equipment leasing.

2.Trusted Business Partner

  • Strategic Planning & Execution: Support the Managing Partner and Executive Committee in creating and implementing the office business plan, aligning operational initiatives with strategic objectives.
  • Advisory Role: Act as a trusted advisor to the Managing Partner and Partners, offering insights to guide decision-making and strategic growth.
  • Performance & Profitability: Collaborate closely with the Managing Partner and Practice Group Heads to monitor, manage, and drive performance and profitability, ensuring alignment with the Firm’s financial goals.
  • Talent Management: Lead strategic recruitment and talent management initiatives to attract, retain, and develop top talent.
  • Firm Committees: Support various Firm committees and their Partner leads to advance the Firm’s programs, ensuring they have adequate resources and support to achieve their objectives.
  • Meeting Facilitation: Organise and facilitate regular management meetings, including Partner meetings, and Managers meetings, to support alignment and decision-making across the Firm.
