PARTNER-LEVEL LAWYER IN CAPITAL MARKETS / MERGERS & ACQUISITIONS PRACTICE TO PROVIDE TRANSACTION-SUPPORT SERVICES [CLO – KL]

What are we looking for?

We are looking to hire a Partner-level lawyer to join our Capital Markets / Mergers & Acquisitions Practice.  The position will be located within our Malaysian-network firm Christopher & Lee Ong in Kuala Lumpur.

The ideal candidate will have worked in a well-established law firm focusing on a range of corporate transactions, including public and private mergers & acquisitions, and private equity investments.

The Role Will Involve

  • Providing legal support on a broad range of transactions including placements; rights issues; bonus issues and other secondary issues, issues of bonds, continuing listing requirements; corporate disclosure and corporate governance, capital and corporate restructuring, and employee share schemes.
  • Providing support on the full spectrum of legal issues involving the following transactions in Singapore as well as the wider ASEAN region, such as:
    • Acquisitions and divestments of companies (both public and private), businesses and assets
    • Takeovers (hostile, contested and uncontested) of Singapore listed companies
    • Reverse takeovers (RTOs)
    • Mergers, amalgamations and schemes of arrangements
    • Delistings, privatisations, de-mergers and corporate restructurings
    • Private equity investments

Key Skills and Experience

  • Malaysian and/or Singapore qualified lawyer with minimum 7 years post-qualification experience.

Associate (Corporate- Equity Capital Markets)

Description of position:

We are looking for mid-level associates to join our Equity Capital Markets practice group to advise clients on capital markets transactions, including IPOs, take-over and mergers, private placements, rights issues, other fund-raising exercises.

The candidate will be working with other corporate Capital Markets team members and other members within the Rajah & Tann Asia network as a single team in order to provide multi-jurisdictional yet seamless legal services to clients.

Requirement:

  • Minimum 2 years’ experience and completed at least 2 IPOs or other equity capital markets proposals.
  • Have a solid understanding of Malaysia capital market regulations.
  • Strong command of English, both written and spoken.
  • Ability to deliver precise and detailed work.
  • Ability to converse in Chinese will be an advantage.

Legal Associate – Conveyancing/Corporate Commercial

Description

We are looking for an Associate to join our well-recognised Conveyancing/Corporate Commercial practice group at Christopher & Lee Ong (CLO).

The candidate will be required to prepare documentation in relation to sub sale of properties and other real estate matters, in conducting legal research, performing legal due diligence and preparing drafts of transaction documents in complex domestic and cross-border transactions involving M&A, JVs, PE / VC investments, share acquisitions and strategic alliances.

He / she will be part of a dedicated team of Conveyancing/Corporate M&A lawyers who will work closely with other member firms of the Rajah & Tann Asia network to provide clients with commercial and sound solutions.

The candidate will benefit from CLO’s fully integrated approach to advising clients; by drawing upon subject-matter expertise from our market leading and highly ranked practice areas of Technology, Media and Telecommunications (TMT), Projects, Infrastructure & Energy, Competition, Shipping and Trade.

Accounts Executive / Accounts Assistant

Based in Kuala Lumpur, the candidate will be working closely with the accounts team in discharging accounting related work.

This role will report to the Finance Partners / Accounts Manager

Duties & Responsibilities:

  • Perform day-to-day accounting, billing and other finance functions.
  • Assist with ad-hoc tasks and other office duties where required
  • Able to meet strict schedules with minimum supervision

Finance Manager

Role

To head the Finance Department (upon retirement of Account Manager), provide strategic leadership and overall supervision and solution and be in charge of all Finance and Accounts related matters.

Key Responsibilities:

  • Perform financial management duties including generating financial data, compiling reports, and analysing industry trends.

Junior Instructional Designer (Legal)

The RTA Academy is the primary regional Learning & Development resource for the network of more than 1500 legal and business professionals. It curates and delivers regional learning and developmental opportunities and cultivates the RTA culture to grow strong bonds and relationships across the regional network.


Junior Instructional Designer (Legal), Rajah & Tann Asia Academy

The successful candidate will work closely with the RTA Academy team to curate and assess legal content, determine end-learning goals. 


Responsibilities 

  • Work with the team to curate and design internal learning and development content that is engaging, creative, and interactive to be delivered through different modalities
  • Work with the team to ensure that legal content is regularly reviewed and promptly updated
  • Work with the various regional teams to ensure strategic alignment of learning and development goals and strategies
  • Perform functional testing of e-learning content to ensure quality and requisite standards are achieved
  • Any other duties as may be assigned from time to time.

Requirements | Must Haves

  • Undergraduate degree in law
  • Minimum 1 year work experience in the legal or business sectors
  • Excellent legal knowledge and research capabilities
  • Excellent drafting, research, writing, communication and interpersonal skills, with the ability to clearly and accurately convey information and ideas
  • Critical requirement: Proficiency with MS Office and other tools, and ability to learn and use different e-learning tools and platforms with minimal supervision.

  • Some proficiency with video editing and subtitling
